CORPORATE AND COMMERCIAL

MA Inc. provides legal advisory services on various corporate and commercial matters, with experience on the following matters:

  • Drafting and reviewing of general commercial agreements
  • Commercial dispute resolution
  • Conducting legal due diligence investigations
  • Compliance and statutory audits
  • Advising in mergers and acquisitions including drafting and reviewing of shareholders agreements, sale agreements, share subscription agreements and others
  • Registration of companies and drafting memoranda of incorporation (“MOI”) for various types of companies including tax exempt companies in terms of the Income Tax Act, 58, 1962

CORPORATE GOVERNANCE

Through the expertise and extensive experience of the Founding Director, we provide corporate governance services such as:

  • Setting up and administration of all types of companies
  • Advising on and developing governance frameworks for various companies in the public and private sector, in line with applicable legislation, i.e the Companies Act, 71 of 2008, the Public Finance Management Act 1 of 1999 (“PFMA”) and the King Codes on Corporate Governance
  • Monitoring ongoing compliance with the approved governance framework
  • Board advisory services including board inductions, board training and ongoing and ad hoc board advice

PUBLIC LAW

Having also assisted clients such as state-owned entities and agencies in the public sector, the Founding Director has extensive knowledge of the PFMA and its regulations, as well as the general regulatory framework for public sector entities.

She has advised these public sector entities on supply chain management and corporate governance related matters, including appointment as the registered company secretary for some.

The Founding Director has further provided legal services to various non-profit companies including 

  • drafting founding documents specifically tailored for tax exemption in terms of the Income Tax Act, 52 of 1962
  • advising on the corporate governance structures of these entities
  • advising on the broad-based empowerment partner identification and related compliance with the Broad-Based Black Economic Empowerment Act 53 of 2003
  • partnering in forensic investigations on governance and procurement breaches in the public sector

CONSUMER LAW

Over a span of about 10 years the Founding Director has gained knowledge and expertise on consumer law and related matters within the FMCG industry. She has developed extensive knowledge of the consumer law regulatory framework, including the Consumer Protection Act 68, of 2008 and the Code of Conduct of the Consumer Goods and Services Ombud, alternative disputes resolution in the consumer industry and other sectors.

SUCCESSION LAW

In addition to the drafting of wills and testaments, we also provide trust administration and governance services including amongst others, drafting of certain trust documents, training on the provisions of the Trust Property Control Act, 57 of 1988.
